Welcome to Spyke AI Technologies ("SpykeAI," "we," "our," or "us").
These Terms and Conditions ("Terms") govern your access to and use of our website, technology solutions, AI services, software integrations, automation services, AI voice agents, AI chatbots, AI-powered applications, and other services provided by Spyke AI Technologies (collectively, the "Services"), including services made available through https://spykeai.com and any related websites, applications, portals, or communication channels operated by us.
By accessing our website, purchasing our Services, signing a proposal or order form, subscribing to a service, or otherwise engaging with SpykeAI, you acknowledge that you have read, understood, and agreed to these Terms.
If you do not agree with these Terms, you should not access or use our Services.
Definitions
For these Terms:
- "SpykeAI," "we," "our," or "us" means Spyke AI Technologies and its applicable affiliates, representatives, employees, contractors, and authorised service providers.
- "Client," "you," or "your" means the individual, company, organisation, or other legal entity purchasing, accessing, or using our Services.
- "Services" means the AI, automation, software, consulting, implementation, integration, development, content-generation, and other services provided by SpykeAI. Services may include, without limitation:
- AI Voice Agents and voice automation
- AI Chatbots and conversational AI
- Business process automations
- CRM and software integrations
- AI-powered lead management and follow-up systems
- AI agents and agentic workflows
- AI-generated images, videos, audio, and other content
- AI-powered customer support and sales systems
- Workflow automation
- Data processing and transformation services
- Custom AI solutions
- AI consulting, implementation, configuration, and support
- Other AI-related services offered by SpykeAI from time to time
- "AI Systems" means artificial intelligence models, agents, algorithms, APIs, software, automation workflows, voice systems, chat systems, and related technologies used to provide the Services.
- "Client Data" means information, files, documents, recordings, customer information, leads, databases, credentials, content, personal data, and other information provided by or on behalf of the Client in connection with the Services.
- "Third-Party Services" means software, APIs, platforms, AI models, communication services, cloud infrastructure, CRM systems, payment providers, telephony providers, or other services provided by third parties and used in connection with the Services.
- "Deliverables" means the specific outputs, configurations, workflows, software, content, integrations, or other items that SpykeAI has agreed to provide under a proposal, order form, statement of work, or other commercial agreement.
Eligibility
You must be legally capable of entering into a binding agreement to use our Services.
If you are using our Services on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
By using our Services, you confirm that the information you provide to us is accurate, complete, and current.
Scope of Services
SpykeAI provides AI-powered technology and implementation services designed to help businesses automate, improve, or augment various business processes.
The exact Services provided to a Client will depend on the applicable proposal, quotation, order form, statement of work, subscription plan, or other commercial agreement between SpykeAI and the Client.
Unless specifically stated otherwise in writing, the Services do not include:
- Legal, tax, financial, medical, or other professional advice
- Guarantees of business results, revenue, sales, leads, bookings, or cost savings
- Development or integration of third-party systems that are not technically accessible or supported
- Services that require third-party permissions or licences that the Client has not obtained
- Any functionality not specifically included in the agreed scope
SpykeAI reserves the right to modify, improve, replace, or discontinue components of the Services where reasonably necessary.
AI Technology Disclaimer
AI technology is probabilistic and continually evolving.
Accordingly, SpykeAI does not guarantee that AI-generated or AI-assisted outputs will always be:
- Accurate
- Complete
- Reliable
- Unbiased
- Suitable for a particular purpose
- Available without interruption
- Free from errors or hallucinations
AI Systems may occasionally generate incorrect, incomplete, outdated, unexpected, or inappropriate outputs.
Clients are responsible for reviewing and validating AI-generated outputs before relying on them for material business, legal, financial, medical, operational, or other decisions.
SpykeAI does not guarantee that an AI system will produce a particular business outcome merely because the system has been configured or implemented for that purpose.
AI Voice Agents and Automated Communications
Where SpykeAI provides AI Voice Agents, chatbots, messaging systems, automated calling systems, or similar Services, the Client acknowledges that such systems may communicate directly with the Client's customers, prospects, employees, suppliers, or other third parties.
The Client is responsible for:
- Providing accurate information and instructions for the AI system
- Reviewing and approving scripts, prompts, workflows, and automated actions
- Ensuring that the use of the AI system complies with applicable laws and regulations
- Obtaining any required permissions, notices, or consents for calls, recordings, transcription, messaging, or automated communications
- Ensuring that the AI system is used only for lawful purposes
- Monitoring the AI system where appropriate
- Reviewing automated actions and outcomes where human oversight is reasonably required
Where calls or interactions are recorded, transcribed, analysed, or stored, the Client is responsible for determining whether applicable consent, disclosure, notification, or other legal requirements apply to its particular use case.
SpykeAI does not provide legal advice regarding telecommunications, call recording, marketing communications, consent, or privacy requirements.
Client Responsibilities
The Client agrees to:
- Provide accurate, complete, and timely information required to deliver the Services.
- Provide necessary access to systems, accounts, APIs, CRMs, websites, communication platforms, and other tools where required.
- Maintain appropriate permissions and licences for systems and content supplied to SpykeAI.
- Ensure that information provided to SpykeAI may lawfully be processed for the purposes of delivering the Services.
- Review and approve relevant configurations, scripts, prompts, workflows, and automated actions.
- Promptly notify SpykeAI of any suspected security issue, unauthorised access, or misuse of the Services.
- Use the Services in compliance with applicable laws and regulations.
Delays caused by missing information, approvals, access credentials, third-party permissions, or Client dependencies may result in corresponding delays to delivery timelines.
Acceptable Use
You may not use the Services to:
- Conduct unlawful, fraudulent, deceptive, or abusive activities.
- Generate or distribute malicious software or harmful code.
- Circumvent security controls or obtain unauthorised access to systems.
- Infringe intellectual property, privacy, publicity, or other rights of third parties.
- Send unlawful spam or unsolicited communications.
- Deceptively impersonate individuals or organisations.
- Create or distribute content that violates applicable laws.
- Use AI agents or automations to make decisions that the Client is legally prohibited from delegating to automated systems.
- Abuse, overload, disrupt, or interfere with our systems or third-party systems.
- Use the Services for any purpose that violates applicable laws or regulations.
SpykeAI may suspend or terminate Services if we reasonably believe that the Services are being used in violation of these Terms or applicable law.
Third-Party Services and AI Providers
SpykeAI may use or integrate third-party services to provide the Services. These may include, for example:
- AI model providers
- Cloud hosting providers
- Telephony providers
- Messaging platforms
- CRM systems
- Payment processors
- Analytics platforms
- Automation platforms
- Software APIs
- Database and infrastructure providers
The availability and functionality of certain Services may therefore depend on third-party systems.
SpykeAI does not control third-party services and cannot guarantee their availability, performance, pricing, policies, security, or continued operation.
Third-party providers may change their APIs, pricing, models, policies, functionality, limits, or technical requirements. Such changes may affect the Services.
Where a third-party change materially affects a Service, SpykeAI may modify, replace, or discontinue the affected functionality. Additional third-party terms may apply to your use of such services.
Service Availability and Changes
We aim to provide reliable Services but do not guarantee uninterrupted or error-free operation.
Services may occasionally be unavailable due to:
- Maintenance
- Software updates
- Infrastructure issues
- Third-party service outages
- API changes
- Internet or telecommunications failures
- Security incidents
- Force majeure events
- Other circumstances outside our reasonable control
SpykeAI may update, modify, improve, or replace components of its Services from time to time.
Fees and Payments
Fees for Services will be specified in the applicable quotation, proposal, order form, subscription plan, invoice, or other commercial agreement.
Unless otherwise agreed in writing:
- Fees are payable according to the agreed payment schedule.
- Setup, implementation, subscription, usage, or recurring fees may apply depending on the Service.
- Third-party usage charges may be billed separately where applicable.
- Taxes, duties, or government charges may be added where legally applicable.
- The Client is responsible for providing accurate billing and payment information.
Failure to make payments when due may result in suspension of Services. SpykeAI may charge reasonable costs associated with failed payments, where permitted by law and disclosed to the Client.
Subscriptions and Recurring Services
Where a Service is provided on a recurring or subscription basis, the subscription period, renewal terms, fees, usage limits, and cancellation conditions will be specified in the applicable commercial agreement.
Unless otherwise agreed, recurring Services may automatically renew for the applicable renewal period.
The Client may cancel recurring Services according to the cancellation terms communicated at the time of purchase or specified in the applicable agreement.
Cancellation does not automatically entitle the Client to a refund for Services already delivered, work already performed, or committed third-party costs, except where required by applicable law or expressly agreed in writing.
Refunds and Cancellations
Refunds and cancellations are governed by SpykeAI's Refund Policy, which forms part of these Terms.
Refund eligibility may depend on the nature of the Service, whether work has already commenced, whether third-party costs have been incurred, and the terms of the applicable commercial agreement.
Where a Client purchases a custom implementation, development, automation, AI agent, integration, or other bespoke Service, work may begin after payment or approval. Once substantial work has commenced, the applicable fees may be non-refundable except where otherwise required by law or agreed in writing.

Intellectual Property
Unless otherwise agreed in writing:
Client Materials
The Client retains ownership of Client Data and materials supplied by the Client.
The Client grants SpykeAI a limited, non-exclusive right to access, process, reproduce, modify, transmit, and otherwise use Client Data solely to the extent reasonably necessary to provide the Services.
SpykeAI Technology
SpykeAI retains ownership of its pre-existing and independently developed:
- Software
- Source code
- Frameworks
- Templates
- Prompts
- Automation architectures
- Workflows
- Libraries
- Methodologies
- Processes
- Know-how
- Tools
- AI agent frameworks
- System architectures
- Reusable components
Unless expressly agreed otherwise in writing, the provision of Services does not transfer ownership of SpykeAI's underlying technology or intellectual property to the Client.
Client-Specific Deliverables
Ownership or licensing rights relating to custom Deliverables will be determined by the applicable proposal, statement of work, order form, or other written agreement.
Unless otherwise agreed, payment for Services does not automatically transfer ownership of SpykeAI's underlying technology, frameworks, tools, or reusable components used to create the Deliverables.
Client Data and Privacy
SpykeAI may process Client Data in order to provide the Services.
The Client represents that it has the necessary rights, permissions, notices, and lawful basis required to provide Client Data to SpykeAI and to permit SpykeAI and its service providers to process such data for the purposes of delivering the Services.
SpykeAI will handle personal data in accordance with its Privacy Policy and applicable data-protection requirements.
Where required, the parties may enter into additional data-processing terms or agreements.
The Client acknowledges that certain Services may involve the processing of data through third-party AI, cloud, communication, or software providers.

Confidentiality
Each party may receive confidential information belonging to the other party.
The receiving party agrees to:
- Use confidential information only for purposes related to the business relationship.
- Take reasonable measures to protect confidential information.
- Not disclose confidential information to unauthorised third parties except where required to provide the Services or comply with applicable law.
Confidential information does not include information that:
- Is publicly available without breach of these Terms.
- Was already lawfully known to the receiving party.
- Is independently developed without using confidential information.
- Is lawfully obtained from a third party without confidentiality restrictions.
- Must be disclosed by law or a valid legal or governmental order.
Credentials and Account Access
Where the Client provides SpykeAI with access credentials, API keys, login information, or other authentication information, the Client authorises SpykeAI to use such access solely as reasonably necessary to provide the Services.
The Client remains responsible for maintaining appropriate ownership and permissions for its accounts.
The Client should not provide unnecessary credentials or access beyond what is required for the Services.
SpykeAI may request that credentials be provided through secure methods where available.
Intellectual Property of Third Parties
The Services may incorporate or interact with third-party software, models, APIs, libraries, content, or other intellectual property.
Such third-party intellectual property remains subject to the applicable third-party licences and terms.
The Client agrees not to use any third-party component in a manner that violates its applicable licence or terms.
AI-Generated Content
Where SpykeAI provides AI-generated images, videos, audio, text, voice, or other content, the Client acknowledges that AI-generated content may not be unique and may resemble content generated for other users or produced through publicly available or third-party AI systems.
The Client is responsible for reviewing AI-generated content before publishing, distributing, or commercially using it.
SpykeAI does not guarantee that AI-generated content will be free from third-party intellectual property claims. However, we will use reasonable processes appropriate to the Service to create and deliver the requested content.
The Client is responsible for determining whether the final content is appropriate for its intended commercial use.
No Guarantee of Business Results
SpykeAI provides technology and implementation Services.
Unless expressly stated in a written agreement, SpykeAI does not guarantee any particular:
- Revenue
- Profit
- Number of leads
- Number of appointments
- Sales
- Conversion rate
- Cost reduction
- Customer acquisition result
- Marketing result
- Operational result
- Return on investment
Business outcomes depend on numerous factors outside SpykeAI's control, including the Client's products, pricing, sales process, market conditions, staff, customer behaviour, advertising, data quality, and third-party platforms.
Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an "as available" and "as is" basis.
SpykeAI does not warrant that:
- The Services will always be available.
- The Services will be completely error-free.
- AI outputs will always be accurate or suitable.
- Third-party services will remain available.
- The Services will meet every Client requirement unless expressly agreed.
- The Services will generate any particular business outcome.
Nothing in these Terms excludes any warranty or statutory right that cannot lawfully be excluded.
Limitation of Liability
To the maximum extent permitted by applicable law, SpykeAI shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings arising from or relating to the Services.
To the maximum extent permitted by law, SpykeAI's total aggregate liability arising out of or relating to the Services or these Terms shall not exceed the total amount of fees actually paid by the Client to SpykeAI for the affected Services during the three (3) months immediately preceding the event giving rise to the claim.
This limitation does not apply to liability that cannot legally be limited or excluded under applicable law.
Indemnification
To the extent permitted by applicable law, the Client agrees to indemnify and hold harmless SpykeAI, its officers, employees, contractors, and representatives from claims, damages, losses, liabilities, and reasonable expenses arising from:
- The Client's unlawful use of the Services.
- Client Data supplied to SpykeAI.
- The Client's violation of third-party rights.
- The Client's violation of applicable laws.
- The Client's use of AI-generated outputs without appropriate review.
- Automated communications or actions conducted through systems configured at the Client's request.
- The Client's breach of these Terms.
This section does not apply to the extent that a claim results directly from SpykeAI's own gross negligence, wilful misconduct, or other liability that cannot legally be excluded.
Suspension and Termination
SpykeAI may suspend or terminate access to the Services if:
- The Client materially breaches these Terms.
- The Client fails to pay amounts when due.
- The Services are being used for unlawful or prohibited activities.
- Continued provision of the Services creates a security, legal, or operational risk.
- A third-party provider required for the Service becomes unavailable.
- Suspension or termination is otherwise permitted under the applicable commercial agreement.
The Client may terminate Services in accordance with the cancellation or termination terms contained in the applicable commercial agreement.
Upon termination, the Client's right to use the applicable Services will cease, except where continued access is expressly agreed.
Termination will not affect rights or obligations that accrued before termination.
Force Majeure
SpykeAI shall not be responsible for delays or failures caused by circumstances beyond its reasonable control.
Such circumstances may include natural disasters, war, terrorism, government actions, telecommunications failures, internet outages, power failures, cyberattacks, third-party platform outages, major software or API changes, labour disputes, epidemics, or other events beyond our reasonable control.
Communications and Electronic Agreements
The Client agrees that communications, approvals, proposals, invoices, agreements, and other documents may be provided electronically.
Electronic acceptance, approval, signature, or other forms of electronic communication may constitute acceptance of the applicable agreement where legally valid.
The UAE's electronic-transactions framework recognises the validity and enforceability of electronic contracts and electronic documents.
Changes to These Terms
SpykeAI may update these Terms from time to time.
When we make changes, we will update the Effective Date at the beginning of this page.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
Where a material change requires additional notice or consent under applicable law, we will provide such notice or obtain such consent as required.
Governing Law and Jurisdiction
These Terms and the relationship between you and Spyke AI Technologies shall be governed by and interpreted in accordance with the laws of India, without regard to its conflict-of-law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the relationship between Spyke AI Technologies and the Client shall be subject to the jurisdiction of the competent courts in Hyderabad, Telangana, India, unless otherwise required by applicable law or expressly agreed in writing between Spyke AI Technologies and the Client.
Where the Client is located outside India, the parties may agree in writing to additional contractual terms relating to applicable local laws, data protection requirements, dispute resolution, or jurisdiction.
Nothing in these Terms prevents either party from seeking urgent or interim relief from a court of competent jurisdiction where such relief is necessary.
Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be modified or limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms, together with any applicable proposal, quotation, order form, statement of work, subscription agreement, Service Agreement, Privacy Policy, Refund Policy, and other written agreements between SpykeAI and the Client, constitute the agreement governing the use and provision of the Services.
If there is a conflict between these Terms and a specific written agreement signed or accepted by SpykeAI and the Client, the specific written agreement shall prevail to the extent of the conflict.
